These Terms and Conditions (“Terms”) govern your access to and use of Todd, an experimental artificial intelligence assistant developed and provided by Villa Crop Protection Proprietary Limited (“Company”). By accessing or using Todd, you (“User”) acknowledge and agree to the following:

INFORMATIONAL PURPOSES ONLY
1.1. Todd is provided solely for the purpose of furnishing general, non-binding and informational content relating to crop protection products sold by the Company.
1.2. Todd does not constitute professional agrochemical, agronomic, legal, technical or safety advice nor does it replace consultation with an accredited agrochemical advisor.
1.3. No content generated by Todd shall be construed as a recommendation, guarantee, warranty or assurances of performance in respect of any product, treatment or method.

PROFESSIONAL ADVICE REQUIRED
2.1. The User acknowledges and agrees that all decisions regarding product selection, application, dosage, timing and suitability for specific crops, pests or conditions must be made by a qualified and accredited agrochemical advisor, duly accredited under applicable law.
2.2. The User is solely responsible for ensuring that they have consulted such an advisor prior to relying on or acting upon any information obtained through Todd.

OBLIGATIONS TO FOLLOW PRODUCT LABELS
3.1. All crop protection products must be used strictly in accordance with the instructions, limitations, warnings and safety requirements set out on the registered product label as approved by the relevant regulatory authority.
3.2. The User accepts full responsibility for reading, understanding and complying with the product label prior to use.

PROHIBITION ON OFF-LABEL USE
4.1. Any use of any product inconsistent with its approved label (“Off-Label Use”) is strictly prohibited.
4.2. Todd may inadvertently generate responses that reference or imply Off-Label Use. The Company does not endorse, authorise or permit such use.
4.3. The User assumes all risk and liability arising from any Off-Label Use of products and the Company expressly deny any responsibility for such actions.

ACCURACY AND LIMITATIONS OF TODD
5.1. Todd is an experimental and evolving tool that may provide incomplete, outdated or incorrect information.
5.2. The Company makes no representation, warranty or guarantee, whether express or implied, as to the accuracy, completeness, reliability or suitability of any information provided by Todd.

LIMITATION OF LIABILITY
6.1. To the fullest extent permitted by law, the Company, together with its directors, employees, officers, contractors, affiliates and partners shall not be liable for any loss, damage, cost, claim, expense or injury of any nature whatsoever, whether direct, consequential, special or punitive arising from or in connection with:
6.1.1. reliance on or use of information provided by Todd;
6.1.2. improper or negligent use of crop protection products;
6.1.3. failure to comply with label instructions or legal requirements;
6.1.4. Off-Label Use or unregistered product use; and/or
6.1.5. failure to seek professional advice from a registered and accredited agrochemical advisor.
6.2. The User agrees to indemnify, defend and hold harmless the Company and its affiliates directors, employees, officers and contractors against any claims, liabilities, losses, damages or expenses resulting from their use of Todd or reliance upon any information provided thereby.

USE AT USER’S OWN RISK
7.1. The User expressly acknowledges and agrees that the use of Todd is at their sole discretion and risk.
7.2. The User assumes full responsibility for all decisions made, actions taken and consequences arising from the use of Todd.

REGULATORY COMPLIANCE
8.1. To the extent applicable, the User is solely responsible for ensuring compliance with all applicable laws, regulations and licensing requirements relating to agrochemicals, pesticides and crop protection products in their jurisdiction.
8.2. The Company shall not be held liable for any regulatory non-compliance by the User.

UPDATES AND REVISIONS
9.1. The Company reserves the right to update or revise these Terms or to modify, suspend or discontinue Todd, at any time without prior notice.
9.2. The User is responsible for reviewing these Terms periodically. Continued use of Todd constitutes acceptance of any amendments.
